Cusip License Agreement

These terms of use constitute the entire agreement between the parties regarding each website and replace all other written or oral agreements concerning this website. The failure of S-P Global to insist on strict compliance with a provision of these Terms of Use should not be construed as a waiver of a subsequent non-compliance with that clause or provision. To the extent permitted by law, you must compensate S-P Global and its suppliers for all costs, claims, damages or debts (including reasonable legal and legal fees) and defend them against all costs, claims, damages or liabilities (including reasonable legal and legal fees) resulting from a violation of Section 3 (anti-piracy provisions). These terms of use are personal to you and you cannot delegate your rights or obligations to anyone. If a clause or condition of this clause is found invalid or unenforceable by a court, administrative authority or jurisdiction, it is deemed amended to the extent that it is necessary for its validity, legality and applicability. If such an amendment is not possible, the clause in question is deemed to be removed and the other conditions remain in full force and are enforceable to the extent permitted by law. These terms of use, your rights and obligations, and all acts under these Terms of Use are subject to the laws of the United States of America and the State of New York. The parties agree that the State and Federal Courts of New York are exclusive proceedings for all litigation arising from these Terms of Use, and the parties hereafter accept the personal jurisdiction of those courts. Any claim must be invoked in the individual quality of the plaintiff and not as a plaintiff or class member in an alleged class, collective, representative, multiple plaintiff or similar proceeding (“group action”). The parties expressly forego any possibility of maintaining collective actions in a forum. The user accepts that the user cannot publish or distribute on a data medium the CUSIP database or the information or summaries or extracts from the database it contains, except as part of the normal clearing and billing of security transactions.
